1. The Sweepstakes: These official rules (the “Official Rules”) shall govern the PNC Bank Premium Seats + Ford Lounge Access Sweepstakes @ Ryman Auditorium (the “Sweepstakes”). No purchase necessary to enter or win, and no deposit, entry fee, payment, or proof of purchase is necessary to participate in this Sweepstakes. Void where prohibited by law and subject to all applicable laws. NO PURCHASE NECESSARY TO ENTER THE SWEEPSTAKES. 

 

2. Sweepstakes Period: The  Sweepstakes begins on October 7, 2024, at 10:00 a.m. CDT, and ends on October 22, 2024, at 5:30 p.m. CDT (the “Sweepstakes Period”).  All Sweepstakes entries must be received during the Sweepstakes Period.  The Sponsor reserves the right to extend or shorten the Sweepstakes Period at its sole discretion.   

 

3. Sponsors: The Sweepstakes is sponsored by the PNC Financial Services Group, Inc., 116615 3rd Avenue S, Nashville, TN 37210 and Opry Entertainment Group, owner and operator of Ryman Auditorium, 116 Rep. John Lewis Way North, Nashville TN 37219 (together, the “Sponsor”).    

This promotion is in no way sponsored, endorsed, or administered by, or associated with, Instagram, Facebook, and/or Twitter.  Any questions, comments, or complaints regarding the Sweepstakes will be directed to the Sponsor, not Instagram, Facebook, and/or Twitter. 

4. Eligibility:  The Sweepstakes is open only to persons who: (i) have a valid email address and internet access prior to October 22, 2024, at 5:30 p.m. CDT and who enter the Sweepstakes at https://ryman.com/sweepstakes/pnc-vip-night-at-the-ryman-contest/; (ii) are legal residents of the United States, including its commonwealths, territories, and possessions (collectively referred to herein as “States”) who are twenty-one (21) years of age or older at the time of entry; and (iii) are not employees, officers, and directors (including immediate family members (spouse, parent, child, sibling and their respective spouses, regardless of where they reside) and members of the same household, whether or not related) of the Sponsor, Paragon Marketing Group, Opry Entertainment Group and Ryman Auditorium, and each of their respective parents, affiliated companies, subsidiaries, licensees, distributors, dealers, retailers, printers, advertising, and promotion agencies, as well as any and all other companies associated with the Sweepstakes (collectively referred to herein as the “Promotion Entities”).  Void where prohibited by law and subject to all applicable laws. NO PURCHASE NECESSARY TO ENTER THE CONTEST.  

 

By participating in and entering the Sweepstakes, each entrant agrees to be bound by the terms of these Official Rules, including all eligibility requirements. 

 

5. How To Enter: Eligible participants (see Eligibility section 4, above) can enter by visiting the link provided at https://ryman.com/contests/detail/pnc-vip-night-at-the-ryman-contest/ fill in the online entry form and submit it in accordance with the on-screen directions. All online entries must be received by 5:30p.m. CT on, October 22, 2024, to be eligible for the drawing.  

For an entry to be eligible to win the Prize, each eligible participant must provide all the information requested and any entries that are incomplete or do not adhere to the rules or specifications set forth in the Official Rules may be disqualified at the sole discretion of the Sponsor. You may not enter more times than indicated by using multiple email addresses, identities, or addresses in an attempt to circumvent the Official Rules. If the participant uses fraudulent methods or otherwise attempts to circumvent the Official Rules, then his or her submission may be removed from eligibility at the sole discretion of the Sponsor. The Sponsor reserves the right, in its sole discretion, to disqualify any entry at any time, which in their opinion, does not comply with these Official Rules. The Sponsor is not responsible for lost, late, incomplete, void, corrupted, misdirected, misaddressed, or otherwise erroneous entries or for any problems, malfunctions, or technical difficulties that arise during the entry process. Any incomplete or incorrect entries will be deemed void and disqualified from consideration in the Sweepstakes. Proof of submission will not be deemed to be proof of receipt by the Sponsor. Once submitted, all entries shall be the property of the Sponsor and will not be returned or acknowledged. The Sponsor’s computer shall be the official clock of the Sweepstakes. All entries submitted in compliance with the Official Rules and not disqualified are considered “Eligible Entries” for the purposes of the Sweepstakes. 

6. Odds: Odds of winning the Prize (defined below) are based, in part, on the number of Eligible Entries received during the Sweepstakes Period. 

 

7. Winner Selection: The Winner(s) will be selected from among all eligible entries received in a random drawing at the conclusion of the promotional period on October 22, 2024. In case of dispute as to identity of a winner, such entry will be declared made by the registered user of the email account, and if a prize is won, and such registered user is a valid entrant, the prize will be awarded to such registered user. 

The “registered user” is the natural person to whom an email address is assigned by an Internet access provider, online service provider or other organization responsible for assigning email addresses for the domain associated with the submitted email address. 

All entries will be deemed to have been made by the registered user of the email address. 

If a potential prize Winner cannot be reached by the Team within two (2) calendar days, using the contact information provided at the time of entry, or if the prize is returned as undeliverable, then that potential prize Winner shall forfeit the prize. The potential prize Winner, regardless of prize amount, will be required to complete a tax affidavit prior to receiving his or her prize. The affidavit will request the name, address, and Social Security number of the Winner so that the Sponsor can issue an IRS Form 1099 to the Winner, if necessary. In addition, the potential prize Winner may be required to present valid identification and to sign additional documentation in order to receive the prize, including a Declaration of Eligibility, Liability and Publicity Release. If the potential prize Winner does not fulfill these requirements or the potential Winner fails to comply with these Official Rules, then he or she will be disqualified, the prize will be forfeited, and a substitute Winner may be selected from the remaining Eligible Entries. Prizes may not be awarded if an insufficient number of Eligible Entries are received, as determined by the Sponsor. Sponsors will be the sole judges of the Winner’s qualification. 

 

8. The Prize: The prize package will include two (2) tickets to the Barenaked Ladies concert at Ryman Auditorium on Sunday, October 27, 2024, at 7:30 pm CT, two (2) Ford VIP Lounge Passes and a limited edition Ryman Hatch Show Print poster. All costs and expenses associated with the Prize acceptance and use not specified herein as being provided, including any expenses incurred by accepting the Prize, are the sole responsibility of the Winner. Except as specifically provided herein, prize package does not include taxes, insurance, telephone charges, personal costs or expenses.  

 

Winner will receive at least one of the prizes described above (with the option to award one or more additional prizes in Sponsors’ sole discretion), with an approximate retail value of $700. Actual/appraised value may differ at time of prize award. Any difference between the actual value and the stated approximate retail value will not be awarded. The prize specifics shall be solely determined by Sponsors. No cash or other prize substitution shall be permitted except at Sponsors’ discretion. The prize is nontransferable. No substitution of prize or transfer/assignment of prize to others or request for the cash equivalent by Winner is permitted.  

 

9. Additional Limitations: Winner must comply with all venue rules and regulations.  Failure to do so may result in forfeiture of prize. Instructions to claim the Prize will be sent via email to winner. Tickets are subject to terms and conditions as specified by issuer. All Prize details shall be determined in the sole and absolute discretion of the Sponsor. The Winner is fully responsible for any and all applicable federal, state, and local taxes (including income and withholding taxes). Any difference between the actual value and the stated approximate retail value will not be awarded. The Sponsor reserves the right to substitute the prize with a prize of comparable or greater value if the advertised prize should become unavailable. Any unused prize elements will be forfeited. The Sponsor will not replace any lost or stolen prizes, vouchers, certificates, or similar items once they are in the Winner’s possession. Prizes are awarded “as is” with no warranty or guarantee, either express or implied, by the Sponsor. All costs and expenses associated with the Prize acceptance and use not specified herein as being provided, including any expenses incurred by accepting the Prize, are the sole responsibility of the Winner.   

 

10. Privacy:  As a condition of entering this Sweepstakes, you consent to receive communications from Opry Entertainment Group Holdings, LLC for the purpose of administering this Sweepstakes and for the purpose of providing other offers and communications which may be of interest to the entrant.  You may unsubscribe at any time by following the “unsubscribe” link and instructions contained in any email communication You may receive, and doing so will not affect your entry into the Sweepstakes.  Personal information collected in connection with this Sweepstakes is governed by the Opry Entertainment Group Holdings, LLC privacy policy (located at https://www.ryman.com/privacy-policy) and Privacy Policy (located at www.pnc.com).  By participating in the contest, and providing any personal or customer data, participants hereby agree to all of the terms and conditions of the privacy statement of each Sponsor. 

 

11. Data Collection:  Sponsor will be collecting personal data about participants when they enter the Promotion.   

 

12. Release:  By participating in the Sweepstakes and submitting an entry, each entrant agrees to (a) be bound by these Official Rules, including all entry requirements, and (b) waive any and all claims against each Sponsor, the Ryman Auditorium, and each of their respective parents, affiliated companies, subsidiaries, officers, directors, employees, agents, licensees, distributors, dealers, retailers, printers, representatives, and advertising and promotion agencies, and any and all other companies associated with the Sweepstakes, and all of their respective officers, directors, employees, agents and representatives (collectively, “Released Parties”) for any injury, damage, or loss that may occur, directly or indirectly, in whole or in part, from the participation in the Sweepstakes or from the receipt or use of the Prize (or any portion thereof) or any activity related to the receipt or use of the Prize (or any portion thereof).  By entering this Sweepstakes, each entrant gives his/her express permission to be contacted by the Sponsor and/or Promotion Entities by telephone, email, and/or postal mail for Sweepstakes purposes.  Each Winner, by acceptance of the Prize, grants to the Sponsor and the Promotion Entities, and each of their respective designees, the right to publicize such Winner’s name, address (city and State of residence), photograph, voice, statements, and/or other likeness and prize information for advertising, promotional, trade and/or any other purpose in any media or format now known or hereafter devised, throughout the world, in perpetuity, without limitation and without further compensation, consideration, permission, or notification, unless prohibited by law. 

 

13. The Released Parties shall not be liable to the Winner (or any person acting on behalf of the Winner) for failure to supply the Prize, or any part thereof, for any reason out of the Released Parties’ reasonable control, including, without limitation, any acts of God, any action, regulation, order or request by any governmental or quasi-governmental entity (whether or not the action, regulation, order or request proves to be invalid), equipment failure, terrorist acts, earthquake, war, fire, flood, explosion, unusually severe weather, hurricane, embargo, labor dispute or strike (whether legal or illegal), labor or material shortage, transportation interruption of any kind, work slow-down, civil disturbance, concert/event cancellation, insurrection, or riot. 

 

14. The Released Parties shall not be liable to any entrant for damages arising out of: (i) any printing or typographical errors in the Official Rules or any other materials associated with the Sweepstakes; (ii) stolen, late, incomplete, illegible, inaccurate, misdirected, lost, misrouted, damaged, delayed, undelivered, or mutilated entries; or (iii) any other errors, problems, or difficulties of any kind, whether human, mechanical, electronic, network, computer, telephone, wireless service, mail, typographical, printing, or otherwise relating to or in connection with the administration of the Sweepstakes, including, without limitation, the processing of entries or the announcement of the Prize.  The Released Parties are not responsible for and shall not be liable for any condition caused by events beyond their control that may cause the Sweepstakes to be disrupted. 

 

15. General:  The Sponsor reserves the right, in its sole discretion, to amend, change, cancel, or suspend the Sweepstakes (or any portion thereof) at any time, for any reason, and to randomly award the Prize from among all non-suspect, Eligible Entries received at the time of such action, should malicious tampering or other causes beyond the Sponsor’s control corrupt the administration or proper execution of the Sweepstakes (as determined in the Sponsor’s sole discretion). The Sponsor also reserves the right, in its sole discretion, to modify these Official Rules for clarification purposes without materially affecting the terms and conditions of the Sweepstakes. 

 

16. Disputes and Choice of Law: The Sponsor reserves the right, in its sole discretion, to cancel or suspend the Sweepstakes (or any portion thereof) should virus, bugs, unauthorized human intervention, or other causes corrupt administration, security, fairness, integrity or proper operation of the Sweepstakes (or any portion thereof). In the event of cancellation, the Sponsor may elect to identify the Winners and award the Prize by way of random drawing from among all non-suspect, Eligible Entries received up to the time of such cancellation. The Sponsor reserves the right, in its sole discretion, to disqualify any entrant found or suspected to be: (i) tampering with the entry process or the operation of the Sweepstakes or (ii) acting in violation of these Official Rules. These Official Rules shall be governed by and construed and interpreted in accordance with the laws of the Commonwealth of Pennsylvania, U.S.A., applicable to contracts entered into and performed exclusively in that State. 

17. CAUTION: ANY ATTEMPT TO DELIBERATELY DAMAGE ANY WEBSITE ASSOCIATED WITH THIS SWEEPSTAKES OR UNDERMINE THE LEGITIMATE OPERATION OF THIS SWEEPSTAKES MAY BE A VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, THE SPONSOR WILL DISQUALIFY ANY ENTRANT RESPONSIBLE FOR THE ATTEMPT, AND THE SPONSORAND/OR THEIR RESPECTIVE AGENTS RESERVE THE RIGHT TO SEEK DAMAGES (INCLUDING ATTORNEYS’ FEES) AND OTHER REMEDIES FROM ANY PERSON OR PERSONS RESPONSIBLE FOR THE ATTEMPT TO THE FULLEST EXTENT PERMITTED BY LAW.  

18. Entries generated by a script, macro, or other mechanical or automated means will be disqualified. In the event of dispute as to the identity or eligibility of any potential winner based on an Instagram account, the winning entry will be declared made by the Authorized Instagram Account Holder of the Instagram account used to enter the Sweepstakes provided he/she is eligible according to these Official Rules. For entries via Instagram, the “Authorized Instagram Account Holder” is defined as the natural person who is assigned to either a Twitter account by www.twitter.com or an Instagram account by www.instagram.com. 

19. INDEMNIFICATION AND LIMITATION OF LIABILITY: BY ENTERING THE SWEEPSTAKES, EACH ENTRANT AGREES TO INDEMNIFY, RELEASE AND HOLD HARMLESS SPONSOR AND ITS PARENT, AFFILIATE AND SUBSIDIARY COMPANIES, THE INSTAGRAM PLATFORM, THE FACEBOOK PLATFORM, TWITTER PLATFORM, ADMINISTRATOR, ADVERTISING AND PROMOTIONAL AGENCIES, AND ALL THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, REPRESENTATIVES AND AGENTS FROM ANY LIABILITY, DAMAGES, LOSSES OR INJURY RESULTING IN WHOLE OR IN PART, DIRECTLY OR INDIRECTLY, FROM THAT ENTRANT’S PARTICIPATION IN THE SWEEPSTAKES AND THE ACCEPTANCE, USE OR MISUSE OF ANY PRIZE THAT MAY BE WON. SPONSOR AND ITS PARENT, AFFILIATE AND SUBSIDIARY COMPANIES DO NOT MAKE ANY WARRANTIES, EXPRESS OR IMPLIED, AS TO THE CONDITION, FITNESS OR MERCHANTABILITY OF THE PRIZE. SPONSOR AND ITS PARENTS, SUBSIDIARIES, AFFILIATES, ADVERTISING AND PROMOTIONAL AGENCIES, AND ALL THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, REPRESENTATIVES AND AGENTS DISCLAIM ANY LIABILITY FOR DAMAGE TO ANY COMPUTER SYSTEM RESULTING FROM ACCESS TO OR THE DOWNLOAD OF INFORMATION OR MATERIALS CONNECTED WITH THE SWEEPSTAKES.
